Terms of Service

These Terms of Service (“Terms”) govern the provision of design services by Luq Turner Designs (“LTD”, “we”, “our”, “us”) to any client (“Client”, “you”, “your”) engaging our services.

By commissioning services, paying a deposit, or otherwise instructing us to commence work, you confirm acceptance of these Terms.

Introduction & Acceptance of Terms

1.1 These Terms apply to all services provided by Luq Turner Designs to clients operating within the United Kingdom and Europe.

1.2 No variation to these Terms shall apply unless agreed in writing and signed by both parties.

1.3 These Terms form part of any proposal, quotation, project agreement, or written confirmation of instruction issued by Luq Turner Designs.

Services Overview

2.1 Luq Turner Designs is a specialist transport design consultancy providing:

  • Fleet Identity Systems

  • Adaptation System Development

  • Fleet Refresh & Modernisation

  • Brand Marks & Logotypes

  • Custom Truck Visualisation

  • Exterior & Interior Styling Visualisation

  • High-Resolution Digital Design Deliverables

2.2 Services are limited to creative direction, design development, and visualisation.

2.3 Luq Turner Designs does not:

  • Manufacture vehicles

  • Install accessories

  • Apply paint, vinyl, or finishes

  • Manage third-party suppliers

  • Supervise build execution

  • Guarantee third-party workmanship or execution quality

2.4 All illustrations and visual materials are provided for visualisation and creative direction purposes only.

Scope of Work & Project Phases

3.1 Each project will be defined by a written proposal outlining scope, deliverables, timeline, and fees.

3.2 Projects typically follow a structured multi-stage development framework. Progression to subsequent phases may be contingent upon approval of earlier stages.

3.3 Any work requested outside the agreed scope shall constitute a variation and may incur additional fees.

3.4 Unless expressly agreed in writing, services do not include implementation oversight, supplier coordination, or on-site consultation.

Client Responsibilities

4.1 The Client agrees to:

  • Provide accurate project information and specifications

  • Supply relevant vehicle data, configuration details, and branding assets

  • Respond to communications within reasonable timeframes

  • Obtain any required permissions, manufacturer approvals, or third-party licences

4.2 Delays caused by late feedback, missing information, or change of direction may result in timeline extensions and additional fees.

4.3 The Client is solely responsible for verifying technical feasibility prior to manufacture, paint application, or installation.

Fees, Payment Terms & Deposits

5.1 Fees will be set out in the relevant proposal or written agreement.

5.2 A non-refundable deposit (typically 50% unless otherwise stated) is required before commencement of work.

5.3 The remaining balance shall be payable in accordance with the agreed payment schedule and in any event prior to release of final high-resolution files.

5.4 Payments are due within 14 days of invoice unless otherwise agreed.

5.5 Late payments may incur:

  • Statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (UK), where applicable

  • Suspension of ongoing work

  • Withholding of deliverables

5.6 All fees are exclusive of VAT or other applicable taxes unless stated otherwise.

Revisions & Variations

6.1 Proposals will specify the number of revision rounds included.

6.2 Revisions beyond the agreed allowance will be charged at an agreed hourly or fixed rate.

6.3 Significant changes to project direction, vehicle specification, branding strategy, or scope after approval of a stage may constitute a new phase of work.

Intellectual Property Ownership

7.1 Preliminary Concepts

All preliminary sketches, draft concepts, exploratory designs, and unused creative work remain the exclusive intellectual property of Luq Turner Designs unless expressly transferred in writing.

The Client shall not reproduce, adapt, or use rejected or unpaid concepts in any form.

7.2 Final Approved Designs

Upon full payment of all fees:

  • The Client is granted a non-exclusive, perpetual licence to use the final approved design for its intended commercial purpose.

  • Ownership of underlying copyright and design rights remains with Luq Turner Designs unless expressly assigned in writing.

7.3 Restrictions

The Client may not:

  • Resell, sublicense, or distribute the design to third parties for unrelated commercial use

  • Replicate or reproduce the design across additional fleets or vehicles beyond the agreed scope without written consent

  • Modify the design in a manner that materially alters its integrity without prior approval

Unauthorised reproduction, replication, or resale constitutes infringement of intellectual property rights.

Usage Rights & Portfolio Rights

8.1 Luq Turner Designs retains the right to display completed and publicly visible projects within portfolios, website galleries, industry publications, social media, and promotional materials.

8.2 Confidential projects will not be publicly displayed prior to public release without the Client’s consent.

Third-Party Suppliers Disclaimer

9.1 Designs serve as visual and creative direction guides for painters, manufacturers, installers, accessory suppliers, and vehicle builders.

9.2 Luq Turner Designs accepts no liability for:

  • Execution errors

  • Material substitutions

  • Colour variation

  • Manufacturing tolerances

  • Installation inconsistencies

  • Surface preparation issues

9.3 Real-world execution may vary due to materials, paint systems, lighting conditions, print processes, surface curvature, and workmanship.

No Guarantee of Commercial Outcome

10.1 While designs are developed to strengthen recognition and professional presence, Luq Turner Designs makes no guarantee regarding:

  • Increased revenue

  • Market performance

  • Brand recognition metrics

  • Commercial return

Limitation of Liability

11.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any matter which cannot legally be limited.

11.2 Subject to clause 11.1, total liability arising out of any claim relating to services provided shall not exceed the total fees paid by the Client for the relevant project.

11.3 Luq Turner Designs shall not be liable for:

  • Indirect or consequential loss

  • Loss of profit

  • Loss of business opportunity

  • Reputational damage

  • Third-party claims arising from implementation

Indemnity

The Client agrees to indemnify and hold harmless Luq Turner Designs against any claims, losses, or liabilities arising from:

  • Use or implementation of the design

  • Modification of designs without consent

  • Third-party manufacture or installation

  • Infringement resulting from materials or assets supplied by the Client

Confidentiality

13.1 Both parties agree to maintain confidentiality over commercially sensitive information disclosed during the project.

13.2 Confidential information shall not include information that:

  • Is publicly available

  • Is independently developed

  • Is required to be disclosed by law

Termination

14.1 Either party may terminate a project in writing.

14.2 In the event of termination:

  • The deposit remains non-refundable

  • The Client shall pay for all work completed up to the termination date

  • No intellectual property licence shall be granted until full payment is received

Project Delays & Suspension

15.1 If a project is paused by the Client for more than 30 days, Luq Turner Designs reserves the right to:

  • Re-quote the project

  • Adjust timelines

  • Invoice for completed stages

15.2 Extended inactivity may result in project closure.

Force Majeure

Neither party shall be liable for delay or failure to perform obligations where such delay results from circumstances beyond reasonable control, including but not limited to natural events, supply chain disruption, governmental restrictions, or technical system failures.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing.
